Parties
This Agreement is made between you the customer (“Customer”) and Ultimate Solutions & Services ("U.S.S.").
U.S.S. reserves the right to amend these terms and conditions at any time. All amendments to these terms will be posted on-line. The Customer may terminate the Agreement by written notice to U.S.S. if the Customer does not wish to be bound by such new terms and conditions. Continued use of the website or the services available on it will be deemed to constitute acceptance of the new terms and conditions.

Site Content & Copyright
All copyright, database rights and other intellectual property rights in the site and the material available on the site belong to U.S.S. and its third party suppliers. Use of the site does not give users any proprietary rights in such materials.

Use of the Site
The services offered by U.S.S. are made available to Customers solely to communicate information and to permit the Customer to obtain quotations from Suppliers or transact with Suppliers. U.S.S. will not be party to any such transactions with Suppliers and all such transactions are subject to the terms and conditions of the relevant Supplier and U.S.S. shall in no circumstances have any liability whatsoever in respect of any such transaction. U.S.S. will not be responsible for any loss, cost or damage incurred by Customers arising out of or in relation to the transaction or attempt to enter into a transaction (including but not limited to failure to transmit or deliver any services, products or goods).

Service Availability
U.S.S. will try to ensure continuous availability of the site and all the services available on it but accept no responsibility for the consequences of interruptions or delays, however caused. U.S.S. may, additionally, alter the design and specification of the site at any time.

Limitation of Liability
Our liability, and the liability of our third party suppliers, for any loss or damage suffered by you as the result of your use of this site is limited to your actual direct damages and, except in the case of fraud, excludes any loss of future earnings, profit or prospects or any consequential or speculative loss. As required by law, this exclusion does not extend to death or personal injury caused by our negligence.

Directory Listings
Listings contained in the 'Latest News', 'Latest Offers' and 'Business Directory' areas of the site are provided from either our third party suppliers or from U.S.S. directly. Whilst U.S.S. does it's upmost to check and maintain the accuracy of such listings, U.S.S. accepts no responsibility and liability for the contents of listings and hence expects Customers of listed services to carry out such verification procedures as are customary and prudent in the circumstances.
Listings and other information provided on the site are intended to assist in identifying services which may be suitable for your requirements. We do not guarantee the suitability of any service for your particular needs in any particular case or for any particular purposes. You should carry out your own verification and obtain independent advice where appropriate before entering into any contractual or other arrangement which may result in loss or damage.

If a Directory Listing links to another site, U.S.S. are reasonably responsible for maintaining the links and for the content of the advertisement related to the linked site. However we do not check these links daily and hence occassionally they may become out-of-date or irrelevant for reasons beyond our control, in such situations we except no responsibility for any consequences of such links. We may remove any Listing which contains content or links to a site which, in our opinion, is defamatory, illegal or objectionable or will bring U.S.S. into disrepute.

Directory Listings are submitted as per the agreed terms and conditions mentioned on the site.
Listings information placed on the website must be genuinely related to the associated service and not for other products or services.
Listings may not contain gratuitous use of keywords. Gratuitous means deliberately repeating keywords, with the intention of influencing position in search results.

Offensive Listings
If we believe that a listing is offensive, in any way illegal or in breach of these terms and conditions we may at our discretion either amend the listing or remove it from the website without liability to you and will inform you accordingly.

Advertisements contained on the site are provided from third party suppliers. U.S.S accepts no responsibility and liability for the contents of advertisements, hence Customers should carry out such verification procedures as are customary and prudent in the circumstances. U.S.S. are reasonably responsible for maintaining the advertisements links and for the content of the advertisement related to the linked site. However we do not check these links daily and hence occassionally they may become out-of-date or irrelevant for reasons beyond our control, in such situations we except no responsibility for any consequences of such links.

Placing of Advertisements
Advertisements are submitted as per the agreed terms and conditions mentioned on the site.
Rotating Banner Advertisements are placed in a side column of all pages. They are 'randomnly rotating' in a fair system with other advertisers. U.S.S. will only sell the space based on number of pages on the site. i.e. 10 site pages will result in a maximum of 10 sales for a specific place, which means that each advertiser has a 1 in 10 chance (per page) of their advert being included in the space provided.
Fixed Page Advertisements are placed on a specific page in the central column at a position and size to be agreed with U.S.S. They are fixed for the specific page for the relevant term of the advertising contract.
Advertisements placed on the website must be genuinely related to the associated service and not for other products or services.
Advertisements may not contain gratuitous use of keywords. Gratuitous means deliberately repeating keywords, with the intention of influencing position in search results.

Advertisers / Directory Listing Submitters Responsibility
Advertsiers and those organisations/individuals who submit entries to our directories are expected to deal fairly and professionally with individuals who may respond to an advertisment or a directory entry, and not do anything which may bring U.S.S. into disrepute. You will indemnify us from and against any claim brought against U.S.S. by any person arising from your breach of this obligation or any other of these terms and conditions or any claim that you have failed to comply with any applicable law or regulation or are in breach of any contract.
U.S.S. do not guarantee that any response to an advertisement or directory entry will result in a successful commercial relationship. It is your responsibility to carry out such checks as are necessary to ensure that leads are creditworthy and otherwise able to honour any contractual commitments they may enter into with you.

Governing Law
These terms and conditions shall be interpreted in accordance with English law and all disputes shall be decided by the English courts.
